This Fifth Amendment to Reimbursement Agreements (this “Amendment”) is made and entered into as of , 2012 between the CITY OF SAN JOSE, CALIFORNIA, a municipal corporation organized and existing under the laws of the State of California (the “City”) as successor agency of the REDEVELOPMENT AGENCY OF THE CITY OF SAN JOSE, a redevelopment agency created, established and authorized to transact business and exercise its powers, all under and pursuant to the Community Redevelopment Law (Part 1 of Division 24 of the Health and Safety Code of the State of California) (the “Agency”), and JPMORGAN CHASE BANK, N.A. (successor to JPMorgan Chase Bank, a New York banking corporation, and Morgan Guaranty Trust Company of New York, a New York banking corporation) (the “Bank”).
