THIS Data Processing Agreement (“DPA”) dated (the “Effective Date”) is between Digital Media Innovations, LLC on its own behalf and behalf of its wholly-owned subsidiaries (“Notified”) and (“Customer”) and is entered into in accordance with the requirements of Data Protection Laws. To the extent Notified, in providing Services set forth in any separate agreement, processes Customer Data or Personal Data on behalf of Customer, the provisions of this DPA apply. References to the “Agreement” will be construed as references to any such separate written agreement, Order Form or Statement of Work for Notified’s provision of Services, as amended by this DPA. Any capitalized terms not defined herein shall have the respective meanings given to them in the Agreement. Upon execution, this DPA shall form part of the Agreement or applicable Order Form or Statement of Work and shall be construed as an amendment thereto.
