THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made in duplicate and entered into this day of December, 2024 (the “Effective Date”, as defined in Section 30 below), by and between the CITY OF MANASSAS PARK, a Virginia municipal corporation (solely in its capacity as owner of the Real Property (as defined below), and under no circumstances in its capacity as a political subdivision of the Commonwealth of Virginia, the “Seller”; and in its capacity as a political subdivision of the Commonwealth of Virginia, the “City”), and B&B MOVIE THEATRES, LLC, a Virginia limited liability company, (the “Purchaser”). The Economic Development Authority of the City of Manassas Park, Virginia (the “EDA”) and , as the corporate parent of the Purchaser, join in this Agreement to acknowledge their rights and obligations as set forth herein.
