This STOCK PURCHASE AGREEMENT, dated as of March 10, 2015, is made by and between SHANGHAI FOSUN PHARMACEUTICAL (GROUP) CO., LTD., a company formed in the People's Republic of China with limited liability (“Purchaser”), on the one hand, and SOVEREIGN MEDICAL SERVICES, INC., a Delaware corporation (and any successor thereto, the “Company”), SOVEREIGN CAPITAL HOLDINGS, LLC, a Delaware limited liability company (“SCH”), and DR. JOHN H. HAJJAR, an individual (“Dr. Hajjar” and together with SCH, the “Hajjar Parties”), on the other hand.
