On the basis of the representations, warranties and covenants and upon the terms and conditions contained in this Bond Purchase Agreement, the undersigned, Oppenheimer & Co. Inc. (the "Purchaser"), hereby offers to purchase $3,675,000 of Neighborhood Improvement District Limited General Obligation Bonds (Brink Meyer Road Neighborhood Improvement Project) Series 2014B (the "Bonds"), to be issued by the City of Parkville, Missouri (the "City") under and pursuant to an Ordinance adopted by the Board of Aldermen on May 20, 2014 (the "Ordinance"). Capitalized terms used herein shall have the meanings set forth in the Ordinance unless some other meaning is plainly indicated.
