OF PUBLIC IMPROVEMENTS (“Agreement”) is made and entered into by and between WASHINGTON COUNTY, a political subdivision of the State of Oregon, hereinafter referred to as “County”, the CITY OF HILLSBORO, hereinafter referred to as “City”, and INTEL CORPORATION, a Delaware corporation, hereinafter referred to as “Intel.” Intel, City, and County may be jointly referred to herein as the “Parties” or individually as a “Party.” As used in this Agreement, the term “construct” (or “construction of” or the like) with respect to the respective improvements described herein includes all aspects of planning, procurement, construction, managing and administering and other work related to the applicable improvements, including, without limitation, designing, engineering, permitting, acquiring the requisite equipment, labor, materials, rights of way and easements, and constructing and completing such work in accordance with applicable law and this Agreement.
