The Parties hereto agree to execute this Preliminary Merger Agreement, the clauses of which follow and Grupo Financiero Galicia undertakes the obligation to call upon, when due, the General Extraordinary Shareholders’ Meeting for it to approve and ratify what is agreed herein, as well as all the Parties undertake the obligation to execute, once the legal formalities have been met, the related Final Merger Agreement under the provisions of Section 83, Subsection 4) of the Corporations Law (hereinafter “the Corporations Law”).
