THIS SECOND AMENDMENT to Foreign-Trade Zone (“FTZ") Operating Agreement No. 13-3114 (“Agreement”) is made and entered into by and between the CITY OF LOS ANGELES, a municipal corporation (“City”), acting by and through its Board of Harbor Commissioners (“Board”), and GEODIS USA, INC. (“Operator”) as follows:
