This Settlement Agreement, Mutual Release and Waiver of all Claims (“Agreement”) is entered into this day of January, 2010, (“Effective Date”) by and between the City of North Las Vegas (“CNLV”), a municipal entity and political subdivision of the state of Nevada; Storage Direct Losee Road, LLC (“Storage Direct”), a Nevada limited liability company; M&L Secured Storage, LLC (“M&L”), a Nevada limited liability company; and Gunderson Media, LLC, (“Gunderson”), a Utah limited liability company (each a “Party” and collectively, “the Parties”). In consideration of the mutual covenants and agreements of the Parties to this Agreement, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, it is hereby warranted and agreed as follows:
