This Amendment No. 1 (the “Amendment”) is made by and between Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a New York corporation with offices at 185 Franklin Street, Boston, MA 02110, and Covista, Inc., a corporation with offices at 721 Broad Street, suite 200, Chattanooga , TN 37402 (“Covista”), and shall be deemed effective on December 26, 2005 and in no event later than the date on which the Agreement (as defined below) takes effect (the “Amendment Effective Date”). Verizon and Covista are hereinafter referred to collectively as the “Parties” and individually as a "Party". This Amendment covers services in Verizon’s service territory in the Commonwealth of Massachusetts (the “Commonwealth”).
