THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is hereby made and entered into as of the Effective Date (as defined below) by and between HOME DEPOT U.S.A., INC., a Delaware corporation (“Seller”), and BLUE ROSE INVESTMENTS, LLC, a Louisiana limited liability company (“Purchaser”).
