THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of the 1st day of November, 2023 (the “Signing Date”), by and between HOMESTEAD MUTUAL INSURANCE COMPANY, a Wisconsin mutual insurance corporation with its place of business at 5291 County Rd II, Larsen, WI 54947 (“Homestead”), and NORTHEASTERN MUTUAL INSURANCE COMPANY, a Wisconsin town mutual insurance corporation with its place of business at 515 First St, Algoma, WI 54201 (“Northeastern”, together with Homestead is collectively referred to herein as the “Constituent Corporations” and each a “Constituent Corporation”).
