The undersigned, RBC Capital Markets, LLC (the “Representative”), acting on its own behalf and on behalf of the other underwriters listed on Schedule I attached hereto (collectively, the “Underwriters”), offers to enter into this Certificate Purchase Agreement (this “Agreement”) with the Regional Transportation District (the “District”) and Asset Acquisition Authority, Inc. (previously known as RTD Asset Acquisition Authority, Inc.) (the “Corporation”), and which, upon the District’sand the Corporation’s written acceptance of this offer, will be binding upon the District, the Corporation and the Underwriters.
