As detailed in the attached investor Schedule “ D” (the “Investor Schedule” ), the advisor (the “Advisor”) on behalf of the subscribers (the “ Subscribers”) hereby irrevocably subscribes for the amounts and classes of units, as set forth in the Investor Schedule, of the Fund (collectively, the “ Units”) at a price per Unit equal to the Class Net Asset Value per Unit at the close of business on the last business day of the month this Subscription Agreement (the “ Subscription Agreement ”) is received and accepted, which amount shall represent each of the Subscribers’ committed capital, on the terms and conditions set forth in the most recent amended and restated confidential offering memorandum d ated as of January 4, 2016, as the same may be amended, supplemented or restated from time to time (the “ Offering Memorandum ”).
