This Data Processing Addendum ("Addendum") forms part of the master agreement or purchase order (as applicable and that references this Addendum) (“Principal Agreement”) between Cloud Software Group, Inc. (“CSG”) (acting on its own behalf and as agent for each CSG Affiliate) and Supplier (acting on its own behalf and as agent for each Supplier Affiliate) and applies to those services for which CSG engages Supplier under an SOW or Order Form (“Services”) that include the Processing of Personal Information. Supplier shall at all times remain responsible for the performance of Supplier Affiliates under the Principal Agreement, including this Addendum.
