This ASSET PURCHASE AGREEMENT (this “Agreement”) is entered into as of July , 2020, by and among THE PAPER STORE, LLC, a Massachusetts limited liability company (“Seller” or “Debtor”) and [TPS ACQUISITION CO., LLC, a Delaware limited liability company] (together with its permitted successors, designees and assigns, “Buyer”). Seller and Buyer are referred to collectively herein as the “Parties.” Capitalized terms used but not otherwise defined herein shall have the meanings assigned to them in Article I.
