This Authorization and Indemnity Agreement and Subordination of Interests (“Agreement”) is made and entered into by and between Nevada Power Company, a Nevada corporation, d/b/a NV Energy (“NV Energy”) and City of North Las Vegas, a municipal corporation of the State of Nevada, (“CNLV”). NV Energy and CNLV are referred to individually as a “party” and collectively as the “parties”.
