[ ], 2015, as from time to time amended and supplemented in accordance with the provisions hereof (this “Agreement”), among the CITY OF O’FALLON, MISSOURI, a home rule city organized and existing under the laws of the State of Missouri (the “City”), SJ PROGRESS POINT, LLC, a Delaware limited liability company (the “Company”), and FIREMAN’S FUND INSURANCE COMPANY, a California corporation (“Fireman’s Fund”) amends, restates and replaces in its entirety that Performance Agreement dated as of October 1, 2009 by and among the City, the Company and Fireman’s Fund.
