made and entered into as of January 16, 2019 (the “Effective Date”), by and between Mill Creek Clean Fuels, LLC, a Colorado limited liability company (“Producer”), and Louisville Gas and Electric Company, a Kentucky corporation (“Coal Consultant” or “Generator”). Producer and Coal Consultant are also each referred to herein as a “Party” and collectively as the “Parties.”
