Intangible assets such as trademarks can be transferred by way of a contribution to capital, a sale or a licence. This model agreement covers the transfer of a trademark through a licence. The owner of one or more trademarks can thus grant another party the right, whether or not exclusive, to use his trademark(s) in a certain number of countries. It may be that due to specific applicable laws or regulations such a licence needs to be filed and registered with certain authorities, e.g. as under the Benelux Treaty (Law of 22 March 2006 (Belgian State Gazette 26 April 2006)). It is assumed here that the trademark(s) is (are) different from the trade-name or corporate name of the licensor. If this is not the case, then the tax authorities might dispute (part of) the deductibility of the royalties paid by the licensee.
