AGREEMENT is made and entered into as August 15, 2022 (the “Agreement”), by and among REYNEN COURT INC., a Delaware corporation (the “Company”) and the entities identified on Exhibit A hereto (each, an “Investor” and, collectively, the “Investors"), and, in addition, each Person (as hereinafter defined) not an Investor who may hereafter become a party to this Agreement as a “Key Holder” in accordance with Section 4.16 hereof or otherwise becomes a party in accordance with Section 4.18 hereof.
