J55 Capital Corp. (“Acquiror”) is in discussions with Enthusiast Gaming Holdings Inc. (“Target”) regarding a potential transaction (the “Proposed Transaction”) to acquire, pursuant to a plan of arrangement under the Business Corporations Act (Ontario) (the “OBCA”), all of the issued and outstanding common shares (the “Target Shares”) in the capital of Target. The details of the Proposed Transaction will be set forth in an arrangement agreement (the “Arrangement Agreement”) among, inter alia, the Acquiror and the Target, a draft of which has been provided to you. Under the Proposed Transaction, shareholders of Target are expected to receive 4.22 common shares in the capital of Acquiror for each Target Share.
