It is hereby agreed by and among the State of Vermont, Department of Information and Innovation, with principal place of business in Montpelier, Vermont (hereinafter called “Previous State”), and Department of Vermont Health Access, with a principal place of business in Williston, Vermont 05495 (hereinafter called “State”), and Desai Management Consulting, LLC, with a principal place of business in Williston, Vermont 05495 (hereinafter called “Contractor”), that the State intends to assume all of the rights, benefits, duties and obligations of Previous State under the Contract between the Previous State and Contractor dated as of 1/4/2013, Contract # 23736, as amended to date (the “Contract”), and that the Contract is hereby amended as follows:
