THIS POWER PURCHASE AGREEMENT (this “Agreement”) is entered into as of May 7, 2010 (the “Effective Date”), by and between Massachusetts Electric Company and Nantucket Electric Company, d/b/a National Grid, a Massachusetts corporation (collectively, “Buyer”), and Cape Wind Associates, LLC, a Delaware limited liability company (“Seller”). Buyer and Seller are individually referred to herein as a “Party” and are collectively referred to herein as the “Parties.”
