provisions of the memorandum of agreement entered between the parties on the day of March, shall be deemed to be part of this Agreement as though they were set forth in full herein, except that if there is any conflict between any of the provisions of the memorandum of agreement and any provisions of the Agreement, the provisions of the memorandum shall prevail.
