This Agreement and the exhibits hereto (hereinafter referred to as the “Agreement”) is among and between shareholders (“Shareholders”) under policies of Oil Insurance Limited, a Bermuda company (“the Company”), having its principal offices in Bermuda. Each such signatory hereto is referred to herein as a party. The Company was formed because there was no longer available to petroleum companies on terms consistent with sound business practice commercial insurance covering substantial risks including catastrophe coverage for on-shore and off-shore property, pollution, and bringing under control wild oil or gas wells or extinguishing oil or gas well fires. In view of the magnitude of these risks in the petroleum industry, the Company was formed as a mutual type insurance company to provide reasonable and effective insurance and reinsurance coverage.
