made and entered into effective this 15th day of May, 2019 (the "Effective Date"), by and between CDI ENERGY PRODUCTS, LLC, a Delaware limited liability company ("Fenner") and successor by merger to EGC CRITICAL COMPONENTS, LLC, whose principal business address is 8103 Rankin Road, Humble, Texas 77396 and Novathane, a(n) Ohio company ("Company"), having a principal place of business at 228 Township Road 931, Nova, Ohio 44859. For purposes of this Agreement, Fenner and Company are referred to collectively as the "Parties", or each individually, a "Party." Intending to be legally bound, and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereto hereby agree as follows:
