This Letter of Intent will confirm the intentions, subject to section 3., of the Purchaser and the Vendor in respect of the sale and purchase of the Property (as defined in section 2.), free and clear of all liens, charges and encumbrances except any permitted encumbrances contemplated in the Purchase Agreement (as defined in section 3.).
