This CREDIT AGREEMENT is entered into as of June 13, 2023, among XDimensional Technologies Holdings, LLC, a Delaware limited liability company (“Holdings”), XDimensional Technologies, Inc., a California corporation (the “Borrower”), Apex Mergeco, Inc., a Delaware corporation (“Merger Sub”), upon the consummation of the Acquisition (as defined below), I- Engineering.com, Inc., a Delaware corporation (“I-Engineering”), the other Subsidiary Guarantors party hereto from time to time, CCP AGENCY, LLC, a Delaware limited liability company (in its individual capacity, “Comvest”), as Administrative Agent, and each lender from time to time party hereto (collectively, the “Lenders” and each, individually, a “Lender”).
