WHEREAS, Participating United Nations Organizations that have signed a Memorandum of Understanding (hereinafter referred to collectively as the “Participating UN Organizations”) have developed a UN-REDD Viet Nam Phase II Multi-Partner Trust Fund (hereinafter referred to as the “Fund”) starting 1 December 2012 and ending on 31 December 2015 as may be amended from time to time, as more fully described in the Terms of Reference of the Multi-Partner Trust Fund (hereinafter referred to as the “TOR”), a copy of which is attached hereto as ANNEX A.
