Dynegy Inc., a Delaware corporation (the “Company”), whose registered office is located at 601 Travis, Suite 1400, Houston, Texas 77002, proposes to issue and sell to certain purchasers (the “Initial Purchasers”), for whom Goldman Sachs & Co. LLC (the “Representative”) is acting as representative, $850,000,000 aggregate principal amount of its 8.125% Senior Notes due 2026 (the “Notes”) upon the terms set forth in the Purchase Agreement among the Company, the Subsidiaries of the Company named therein and the Representative, on behalf of the Initial Purchasers, dated August 7, 2017 (the “Purchase Agreement”), relating to the initial placement (the “Initial Placement”) of the Notes. Each broker-dealer that receives New Securities for its own account pursuant to the Exchange Offer must acknowledge that it shall deliver a prospectus in connection with any resale of such New Securities. The Letter of Transmittal states that by so acknowledging and by delivering a Prospectus, a broker-dealer shall not be deemed to admit that it is an “underwriter” within the meaning of the Act. This prospectus, as it may be amended or supplemented from time to time, may be used by a broker-dealer in connection with resales of New Securities received in exchange for Securities where such Securities were acquired by such broker-dealer as a result of market-making activities or other trading activities.
