THIS EXCLUSIVE NEGOTIATING RIGHTS AGREEMENT (this “Agreement”) is entered into effective as of 7/13/2011______________, 2010 (“Effective Date”) by and between the City of San Leandro, a municipal corporation (“City”) and SL Dark Fiber LLCOSIsoft, Inc., a privately held corporation (“OSIsoftDark Fiber”).
