This Asset Purchase Agreement (this “Agreement”) is made and entered into as of the day of , 2022 by and between New York American Water Company, Inc. n/k/a Liberty Utilities (New York Water) Corp., a New York corporation (“Liberty” or ''Buyer”), Arbor Hills Waterworks Inc., a New York corporation (the “Company” or “Seller”) and Andrew Sferra, as the sole shareholder of the Company (“Shareholder”). Hereinafter, Buyer, Seller or the Shareholder may be referred to individually as a “Party” or together as the “Parties.”
