The sale or other disposition of the Units is restricted as stated in this LLC Agreement and specified in Rule 506 of Regulation D. Each member that acquires Units in this offering represents that he/she/it has acquired the Units for investment purposes and that he/she/it will not sell or otherwise dispose of the Units without registration or other compliance with the Acts and the rules and regulations thereunder.
