This Development Incentive and Operating Covenant Agreement (“Agreement”) is made and entered into on this 2nd day of October, 2012 (“Effective Date”), by and between the City of Redlands a California municipal corporation (the "City") and Hatfield Buick GMC, a California corporation ("Hatfield"). The City and Hatfield are sometimes individually referred to herein as a “Party” and, together, as the “Parties.” The City and Hatfield enter into this Agreement with reference to the following facts (“Recitals”).
