THIS AGREEMENT to serve as an OTCQX Sponsor is by and between OTC Markets Group Inc., a Delaware corporation with an office located at 300 Vesey Street, 12th Floor, New York, NY 10282 (“OTC Markets Group”), and the attorney or a registered broker-dealer and member of the Financial Industry Regulatory Authority (“FINRA”) that is an Investment Bank or Corporate Broker (as each term is defined in the OTCQX Rules), indicated below, dated as of the date executed by OTC Markets Group below:
