(this "Amendment") is dated effective as of the 30th day of September, 2021 (the "Effective Date"), by and between the Tourism and Sports Authority, d/b/a/ the Arizona Sports and Tourism Authority, a corporation and political body having all the rights, powers and immunities of a municipal corporation of the State of Arizona (the "Authority") existing pursuant to Title 5, Chapter 8, Arizona Revised Statutes, as the same may be modified or amended (the "Act") and SMG, a Pennsylvania general partnership (the "Manager"). The Authority and the Manager are sometimes individually referred to herein as a "Party" and are collectively referred to herein as the "Parties."
