Sam Houston Parkway S., Suite 2000, Houston, Texas 77042 (“Buyer”), CALLON PETROLEUM COMPANY, a Delaware corporation with principal offices located at 2000 W. Sam Houston Parkway S., Suite 2000, Houston, Texas 77042 (“Buyer Parent” and together with Buyer, the “Buyer Parties”), PRIMEXX RESOURCE DEVELOPMENT, LLC, a Texas limited liability company with principal offices located at 4849 Greenville Avenue, Suite 1600, Dallas, Texas 75206, (“Seller”), and AMERICAN STOCK TRANSFER & TRUST COMPANY, LLC, a New York limited liability trust company with principal offices located at 6201 15th Avenue, Brooklyn, New York, 11219 (“Escrow Agent”). Buyer, Buyer Parent, and Seller are referred to herein individually as a “Party” and collectively as the “Parties”.
