[Insert Name of Buyer] (“you” or “your” or “Potential Investor”) has requested information from Terramar Retail Centers, LLC (including its affiliates and any successors thereto, the “Company”) in connection with the parties hereto evaluating, discussing and negotiating the terms of a possible transaction (a “Transaction”) involving your purchase of Spring Street Pavilion hereto (the “Property”). The Company will provide you with certain information reasonably requested by you as necessary for your assessment of the Transaction. This letter agreement (this “Agreement”) shall govern such information as may be provided or otherwise made available by the Company.
