This is a Limited Liability Company Operating Agreement (this “Agreement”), dated on and as of February 12, 2021 (the “Effective Date”), by and among (i) BIT CAPITAL OPPORTUNITY ZONE FUND, LLC, a Delaware limited liability company (the “Company”), (ii) BIT CAPITAL MANAGEMENT, LLC a limited liability company in its capacity as manager of the Company (in such capacity, the “Manager”), in their respective capacities as members of the Company (in such respective capacities, such persons are sometimes referred to herein individually as a “Unitholder” and collectively as the “Unitholders”).
