The Buyer and the Seller are hereinafter jointly referred to as “Transacting Parties”. JV Holdco, Jiaozuo JV, Meishan JV, Tongliao JV, Ma’anshan JV, Yinchuan JV, Tianjin JV, Qingyuan JV, Tai’an JV, Wuhan JV, and Beijing JV are hereinafter each individually referred to as a “JV Entity” and collectively referred to as “JV Entities”. Each of the Transacting Parties, JV Entities, China Mengniu, and Danone Asia are hereinafter each individually referred to as a “Party” and jointly referred to as “Parties”.
