We are pleased to inform you that the Epilepsy Study Consortium, Inc. (“ESCI”) is hereby issuing a $75,000 Shark Tank Award for the Development Program described in Exhibit A and disbursed in full upon acceptance of the agreement to the amount indicated above (the “Award”). Company shall be responsible for the payment of all of the remaining costs required to complete the Development Program outlined in Exhibit A and for costs associated with the continuing Commercially Reasonable Efforts necessary to further develop and commercialize the Product. Each party’s obligations hereunder will commence and apply upon the execution of this Agreement. The Award is in furtherance of ESCI’s charitable mission. ESCI has determined that without the Award, the Development Program will likely not occur or be substantially delayed.
