THIS USE LICENSE AGREEMENT (together with the Exhibits attached hereto, the “Agreement”) is dated as of the 28th day of September, 2020 by and between SMG d/b/a ASM GLOBAL PARENT, INC., a Pennsylvania general partnership, with an address at 300 Four Falls Corporate Center, 300 Conshohocken State Road, Suite 450, West Conshohocken, PA 19428 (“ASM GLOBAL”), and Larry A. Ryle High School, Kentucky USA Educational Institution, whose current address is 10379 US Highway 42, Union, KY 41091 (the “Licensee”).
