WHEREAS, Provider and Customer are parties to that certain Master Solar Power Services Agreement dated as of June 17th, 2011 (the “Original Agreement”), under which they contemplated that Provider would develop solar photovoltaic systems on two properties owned by Customer and would sell “solar services” from such systems to Customer;
