The undersigned (the “Subscriber”) hereby irrevocably subscribes for and offers to purchase units in the Partnership (“Units”) for the aggregate subscription price indicated herein and hereby agrees to become a party to and be bound by the Amended and Restated Limited Partnership Agreement of the Partnership dated as of August 31, 2021, as same may be amended, restated and/or supplemented from time to time (the “Partnership Agreement”), all in accordance with the terms and conditions set out herein, in the Amended and Restated Confidential Offering Memorandum of the Partnership dated as of August 31, 2021 (the “Offering Memorandum”) and in the Partnership Agreement.
