This Amended, Extended and Restated Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of May 4, 2005 (the “Effective Date”), between Ernest Communications, Inc. (“ECI”), a corporation organized under the laws of the State of Georgia, with offices at 5275 Triangle Parkway, Ste 150, Norcross, GA 30092 and Verizon North Inc. and Contel of the South, Inc., d/b/a Verizon North Systems (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 100 Executive Drive, Marion, OH 43302 (Verizon and ECI may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
