made and entered into effective as of this day of , 2007 (the “Effective Date”), between the City of Seattle (the “City”), by and through its Department of Parks and Recreation (“DPR”), and the Associated Recreation Council (“ARC”), a Washington nonprofit corporation collectively, the “Parties.” Except where the two agreements conflict, this Agreement incorporates the terms and conditions of the Master Services Agreement (the “Master Services Agreement”) entered into effective as of day of , 2007, by and between the Parties. This Agreement controls in the event of specific conflict with the MSA.
