GENERAL TERMS AND CONDITIONS OFPURCHASE (Global)1. Agreement. The purchase order, scheduling agreement, supply agreement or other purchasing document(s) to which these General Terms and Conditions of Purchase are attached or are incorporated, and any other documents attached to or incorporated therein or herein, is a contract (the “Agreement”) between the affiliate(s) of Tenneco Inc. identified in the Agreement (“Buyer“) and the seller-party(ies) identified in the Agreement (“Seller”) for Seller’s sale to Buyer, and Buyer’s purchase from Seller, of the goods and related services described in the Agreement (“Products”). Seller’s express acceptance or commencement of work on Products, or Seller’s failure to object in writing within seven days after receipt, will constitute acceptance of the Agreement as the complete and exclusive agreement of the parties regarding the subject matter of the Agreement.
