ASSUMPTION AGREEMENT (as amended and restated from time to time, this “Agreement”) is made and entered into as of April 16 , 2018, by and among Lamar Advertising of Puerto Rico, a Puerto Rico corporation (“Lamar”), TLC Properties, Inc. (“TLC”), QMC Transit, Inc. (“QMC”, collectively with Lamar and TLC, the “Seller”), B-Billboard BB LLC, a Puerto Rico limited liability company (“BBB”), and B-Billboard BG LLC, a Puerto Rico limited liability company (“BBG”, and together with BBB, collectively “Purchaser”). Each of the foregoing is individually referred to from time to time herein as a “Party” and collectively as the “Parties.”
