CREDIT AGREEMENT, dated as of April 30, 2015, among ASTRO AB MERGER SUB, INC., a Delaware corporation (“Merger Sub” and, at any time prior to the consummation of the OpCo Mergers (as defined below), as further defined in subsection 1.1, the “Borrower”), the several banks and other financial institutions from time to time party to this Agreement (as further defined in subsection 1.1, the “Lenders”) and ROYAL BANK OF CANADA, as administrative agent, collateral agent and issuing bank for the Lenders hereunder (in such capacities, respectively, the “Administrative Agent”, “Collateral Agent” and, as further defined in subsection 1.1, an “Issuing Bank”).
